Welcome to www.groovmonkey.com, an online marketplace (the “website”, “platform”) operated by CJM BOOKING LTD (the “Company”, “us”, “we”) By using or accessing the website, you agree to the terms and conditions hereafter, which govern the relationship between CJM BOOKING LTD and each Customer and Artist, as well as the relationship between Customers and Artists. These terms and conditions may change from time to time so please check and read them regularly.

Artists must adhere to our terms and conditions and in addition, have their own terms and conditions. Before placing any booking, please read carefully, the terms and conditions of the artist and if not available, please contact them for a copy to view.

1. Registration

While you can use the CJM BOOKING LTD website without creating an account, you will need to do so in order to use certain features (such as making a booking or listing an event). By registering for an account on the website you confirm that you have understood and accepted www.groovmonkey.com's terms and conditions. You warrant that the information you have supplied as part of the registration process is accurate and that you will notify us of any changes. You are responsible for safeguarding the security of your account, including keeping your password confidential.
You must be at least 18 years of age to use the Website. By using the Website and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age and you will be fully responsible for all activities that occur under the account and any other actions taken in connection with it.

2. Our role

GroovMonkey web application/portal has 3 main distinctive features:
  • Entertainments directory - The site allows Artists to create their own profiles and be listed in a directory divided into categories, locations etc. Regular users can find a suitable Artist for a private or public event, see the price, requirements, description, photo galleries and videos.
  • Bookings - Each Artist listed on the website can be booked by regular site visitors. A user picks a date, time and location and the Artist can accept or decline the booking request.
  • Events listing - The last section of the site list “events near me”. These are public events that organisers want to advertise. Each event has a map marker, description, date, time, and ticket price (if applicable). Events can be added by regular site visitors or registered users who booked an artist via the booking functionality.
You may book events with Artists/Organisers directly using the booking functionality on our platform. You recognise that when you book a specific activity via the CJM BOOKING LTD website in relation to a specific Listing, We are acting simply as a middleman and you are entering into a transaction with the relevant Artist. You also understand that it is the Artist, not Us, who is responsible for the provision of the relevant activity specified in each Listing.

3. Conduct and behaviour

You may only use the website and its services for its primary purpose.
In your interactions, you must at all times remain courteous and polite and not use any nicknames, comments, or messages that are obscene, discriminatory, offensive or discourteous. You are responsible for all data transferred from your systems to our website and services and shall bear all liabilities in any way connected to such data and content.

You must not:
  • Use http://www.groovmonkey.com/ or any of its services for any unlawful activity;
  • Do anything that causes damage or disruption to the website or its services;
  • Send malicious information to any party using our services (including viruses, Trojans, adwares, worms, spam);
  • Use the website or services for commercial solicitation, or use any data obtained from or via our website without our prior consent;
  • Transfer your account to another party without our prior consent;
  • Provide us with false, inaccurate or misleading information;
  • Attempt to manipulate transactions or tamper with the website in any way.
By making accessible any User Content through the CJM BOOKING LTD, or by providing any User Content to Us, you are telling Us that you have the right and all required permissions to use such User Content and that We may use it in any medium without cost or obligation to you or anyone else. You further assure Us that the availability or publication of any such User Content as part of the CJM BOOKING LTD will not cause Us to infringe on the rights of any third party or violate any relevant law or regulation. You undertake to pay Us for any damages We incur as a direct consequence of any violation by you of any of the commitments made by you in these Terms. You understand that We have the right, but not the duty, to monitor or control any User Content. If We become aware of any User Content that We reasonably believe violates the Terms, We may delete it. Unless We indicate otherwise, by posting or submitting User Content, you grant: (i) Us and our group companies a non-exclusive, royalty-free, fully sub-licensable and transferable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world, whether on a commercial or non-commercial basis, in any media; and (ii) the right for Us, our sublicenses, and transferees to use the name that you provide in connection with such User Content if We or our group businesses choose to do so.

4. Use of data

In the course of our operation, we collect data from Customers and Artists. You accept that your personal data may be shared between Customers and Artists for the sole purpose of facilitating the sale, purchase and fulfilment of orders on the website as per our Privacy Policy.
Artists agree to fully comply with the General Data Protection Regulation and use CJM BOOKING LTD’s information solely for the purpose of completing transactions and not store CJM BOOKING LTD’s data subsequently or pass it on to third parties.

5. Payments and Charges

The Website is free to use. If you opt to transact with an Artist through the CJM BOOKING LTD website in relation to a certain Listing, the applicable fee that you will pay to the relevant Artists via the CJM BOOKING LTD will be specified in the relevant Listing. Given that you are transacting directly with the relevant Artist, you agree that the pricing for the relevant activity will be established by the Artist and stated in the relevant Listing. We do not have the power to change this pricing. The fees are listed inclusive of any applicable local taxes. Prior to the time of purchase, further information (including information on our approved payment methods) is offered.
We allow Customers to make bookings via deposits only. CJM BOOKING LTD takes a commission fee off the deposit paid. This is a cost on the entertainers/ artists for using the platform. You will receive a confirmation email from Us shortly after confirming your order, which will provide details of the booking you are making as well as confirm that We are just serving as an intermediary and payment agent for such booking subject to the terms and conditions of the Artist/Entertainer booked. The appropriate Artist may additionally send you a second confirmation email.
When you use a credit or debit card to complete a purchase, you affirm that the credit or debit card being used is yours. The card issuer conducts validation and authorization checks on all credit and debit cardholders. We shall not accept the transaction if the issuer of your card refuses to authorise payment. We are not required to provide you with an explanation for the denial. We are not liable for any fees charged to you by your card issuer or bank as a consequence of our processing of your credit or debit card payment in line with your requested order. If you have a problem with any payments made by you to Us using your payment card, we suggest that you first contact Us to address the specific transaction. We do not keep record of credit/debit card details.

6. Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgement or compensation to you.
You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

7. Disclaimer of warranties

The information made accessible to you via the CJM BOOKING LTD website including both Listings and User Content (the "Information"), is offered only for your personal use. Please keep in mind that, while we have policies in place and take reasonable steps to ensure that any Listings are posted by reputable Artists, we do not guarantee the accuracy or validity of any information (this includes the time, date, cost, or location of any activity described in any Listing) or endorse the suitability of any activity described in any Listing for a specific age range. You accept that any transaction engaged in, as a result of seeing any Listing on the CJM BOOKING LTD website (whether undertaken via the CJM BOOKING LTD website or directly with the relevant third party) is done at your own discretion and risk. It is recommended that you double-check any event timings, age appropriateness, pricing, and other event information before making any purchases or visiting an event or location. We will not be accountable for the reliability, defamatory character, completeness, timeliness, or otherwise of such views, opinions, advice, and recommendations if they are included on the CJM BOOKING LTD website. Please be aware that the CJM BOOKING LTD may include connections to websites operated by other parties. We take no responsibility for the availability, appropriateness, trustworthiness, or content of such third-party websites, and we do not necessarily support the opinions stated within.

8. Limitation of liability

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, HTTP://WWW.GROOVMONKEY.COM/ EXCLUDES LIABILITY FOR DAMAGES OF ANY KIND ARISING FROM THE USE OF THE WEBSITE INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF BUSINESS LOSS OF DATA AND ANY CONSEQUENTIAL LOSS, CLAIMS OR REMEDIES IN TORT, WHETHER OR NOT ARISING FROM ITS NEGLIGENCE.

HTTP://WWW.GROOVMONKEY.COM/ SHALL NOT BEAR ANY DIRECT OR INDIRECT LIABILITY FOR ANY DAMAGE OR LOSS ARISING FROM OR RELATING TO ANY USE, CONTINUED USE OF ANY PRODUCTS OFFERED FOR SALE OR RELIANCE ON ANY ADVERTISEMENT DISPLAYED ON THE WEBSITE.
In no event shall CJM BOOKING LTD be held liable for any changes, cancellation, effect on your booking, online advertisements, editorial features or recommendations about particular services that may be suggested for particular purposes or expectations. No such representations or recommendations that may be displayed on http://www.groovmonkey.com/ should serve as a substitute for professional advice.
You should not rely solely on the information presented on the website. We recommend that you contact the Artists directly in case you have a specific concern or question regarding a listing and advertised events.
If a court finds any part of these Terms limiting or excluding liability to be unreasonable or inapplicable, the remaining portions will continue to apply. This Agreement shall not exclude liability for death or personal injury resulting from our negligence, or any liability that cannot be limited or excluded by law.

9. Remedy

If you violate the Terms, We may, at Our sole discretion, disable, partially disable, modify, or delete any or all of your accounts, block your IP address or device from accessing the CJM BOOKING LTD website or in any other lawful way partially or fully restrict your access to the CJM BOOKING LTD platform (without limiting any other remedy We may have). You also undertake to pay Us and keep Us paid for any damage We experience (including financial or reputational loss) as a consequence of your violation of any of the Terms, regardless of how such loss arises.

10. Cancellation and Refund

Any requests to cancel a transaction and get a refund after engaging in a transaction with an Artist through the CJM BOOKING LTD platform should be submitted directly to the Artist Acceptance of such requests (this includes any limitations imposed on such acceptance) is, however, entirely at the discretion of the relevant Artist, If the Artists confirm your cancellation.
If you cancel or change your booking, you may lose your deposit, and the Artist or service provider may charge a cancellation or amendment fee. In any case, if you do not cancel or amend your booking in accordance with the Artist's cancellation or amendment policy, the Artist may charge you a cancellation or amendment fee. More information about our cancellation policy can be found in our email confirmation of your booking, as well as on the Acts detail page before you make a booking.
If, for whatever reason, you fail to show up for your event on the date specified in your booking confirmation email, without prior notice to the Artist and us, we will consider it a no-show/cancellation.
If an Artist cancels (for any reason) any activity for which you have entered into a transaction via the CJM BOOKING LTD platform, you will be provided with a full refund less the commission fee of the CJM BOOKING LTD platform (this is non-refundable) within 10 working days using the same method of payment that you used to make the relevant payment in respect of the cancelled transaction. Please keep in mind that this refund does not alter any legal rights you may have to seek extra compensation directly from the relevant Artist.

11. Third-party links

From time to time, as part of your use of the CJM BOOKING LTD platform, you may be able to purchase services from a third party as a result of clicking a link to a site operated by a third party through our website. Any contract you enter into for the purchase of services from a third party shall be governed by the terms and conditions of the relevant third-party supplier. We have no liability to you in respect of any third party services purchased by you from a third party as a result of your use of the CJM BOOKING LTD website.
We may earn a commission from third parties in respect of any events booked, or services purchased by you from a third party as a result of your use of the CJM BOOKING LTD website. As CJM BOOKING LTD may contain links to sites operated by third parties, we have not reviewed and do not review such sites and are not responsible for the content of nor accept any liability howsoever arising in respect of any of such sites.
The presence of links to third party sites is not intended to and shall not constitute a recommendation by us of such sites nor of any goods, services, content, advice or information posted on them.

12. Termination

You may simply discontinue using the CJM BOOKING LTD website. You may also log out of your account using CJM BOOKING LTD's account settings. You may also contact Us using the "Contact Us" section and request that your account be deactivated. You accept that your use of the CJM BOOKING LTD is subject to Our discretion and that in the case of a violation of the Terms, We may, in Our sole discretion, remove your rights to use the CJM BOOKING LTD services with immediate effect by providing written notice.

13. Force Majeure

Neither we nor the Artists will be obliged to fulfil the responsibilities detailed in the terms and conditions in circumstances beyond reasonable control. These include but are not limited to earthquakes, floods, fire, plague or other natural disasters, terrorism, riots, civil disturbances, war, strikes, nuclear or chemical contamination, failure of public infrastructure, national emergency, inclement weather or acts of God. Duties and obligations will be postponed for the period of the Force Majeure.

14. Communication

Visiting the Website, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Website, satisfy any legal requirement that such communication is in writing.

You hereby agree to the use of electronic signatures, contracts, orders and other records and electronic delivery of notices, policies and records of transactions initiated or completed by us or via the Website. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by other than electronic means.

15. Event listing

This service is for venue owners, promoters, and event organizers to submit their own event listings to GroovMonkey.com. By submitting your event listing you agree that all information provided is correct and accurate. You also agree to make any updates as necessary to your event listing should any event detail be changed, or an event cancelled or rescheduled. When submitting an event listing you must include a cover photo. Please ensure you have the relevant copyright permission to use this image to promote your event. If you do not have permission from the copyright holder you agree not to submit this image for use. Any copyright breach claims will be directed against the company or individual that submitted the image in question. CJM BOOKING LTD will not be held accountable. Once an event has been submitted, it may take up to 24 hours to be approved and listed on GroovMonkey.com.

16. No partnership or agency

Nothing in this Agreement shall be construed to create a partnership, joint venture or agency relationship between the parties.

17. Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

18. Assignment

You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of its rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of its assets or stock or as part of a merger.

19. Changes and amendments

We reserve the right to modify this Agreement or its terms relating to the Website at any time, effective upon posting of an updated version of this Agreement on the Website. When we do, we will revise the updated date at the bottom of this page. Continued use of the Website and Services after any such changes shall constitute your consent to such changes.

20. Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorised to access or use the Website and Services.

21. Disputes

Whilst we are not a party to the transaction, we may try to help users resolve disputes.

Where a Customer and Artist are unable to resolve a dispute resulting from a transaction that occurred on the platform, they may resort to us by contacting us at info@groovmonkey.com or via the contact form on our website. For the avoidance of doubt, we have no obligation to resolve disputes and will consider doing so at our sole discretion and based solely on our policies.

You release CJM BOOKING LTD (and CJM BOOKING LTD's directors, officers, employees and representatives) from any and all claims, demands, damages, including consequential loss of every kind and nature arising out of or in any way connected with disputes between CJM BOOKING LTD and Artists or external parties.

22. Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the Republic of Ireland. Any matters arising in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of the Republic of Ireland.

23. Insurance

It is strongly advised that you obtain adequate event insurance prior to your event. It is your responsibility to ensure that you have sufficient insurance coverage. The insurance should cover, among other things, your cancellation costs, personal losses, and all medical expenses.
